Client

A private equity-backed renewable energy solutions provider had set its sights on an initial public offering (IPO). The organization delivered clean-energy solutions in a fast-moving sector, and its investors saw a public listing as the logical next step. Growth had come quickly, but the accounting function had not kept pace with it.

Going public asks a great deal of an organization's financial reporting. The scrutiny is higher, the timelines are tighter, and the standards leave little room for error. This provider wanted to be ready for that scrutiny well before it arrived, which is where the work began.

The Challenge

Approach

Rebuilding the Financial Reporting Foundation

The first task was the historical financial statements. The team converted years of financials originally prepared to American Institute of Certified Public Accountants (AICPA) standards so they would hold up under the requirements of a PCAOB audit. Every figure, footnote, and disclosure was reviewed and refined to meet Securities and Exchange Commission (SEC) requirements. To support the positions that mattered most, the firm's technical accounting professionals wrote detailed memorandums that gave the audit the documentation trail it had been missing.

Supporting the Registration Statement

As the S-1 registration statement took shape, the team drafted the Management's Discussion and Analysis (MD&A), turning complex financial data into a clear narrative that investors and regulators could follow. At the same time, the firm's valuation professionals worked through the details of share-based compensation and determined fair values that would hold up under scrutiny while reflecting the organization's equity structure accurately.
